Investment Funds Lawyer/Legal Counsel, City of London – 6 Month FTC £(phone number removed)pa pro rata
My client are seeking an Investment Funds Lawyer with a minimum 4 years’ post qualification experience (ideally in the areas of fund formation and investment structuring). You will be primarily responsible for working with an asset management team managing global transportation assets (the “GT Team”) to assist in the establishment of a shipping fund (the “Fund”).
Expected responsibilities include, reviewing regulatory advice from external counsel regarding the Fund formation options, reviewing, negotiating and advising on the relevant legal documents for the establishment of the Fund vehicle including the private placement memorandum, partnership agreement, subscription agreement and investor side letters, reviewing, negotiating and advising on carried interest vehicle structuring and set-up documentation) assisting with all related closing matters of the Fund, liaising with the various stakeholders (asset managers, compliance and administration teams, as well as senior management) and liaising with external counsel. There is likely to be cross-jurisdictional (including offshore) exposure.
Purpose of the role:
Provide accurate, timely and commercial legal advice to the GT Team and the various stakeholders in relation to the Fund establishment, structuring and implementation.
Core Responsibilities
Managing communications and liaising with external counsel on the Fund formation;
Reviewing and advising on the regulatory/structuring matters relevant to the Fund formation;
Assist on the set up of the Fund and/or holding vehicles, regulated and unregulated;
Reviewing and negotiating Fund establishment documentation including but not limited to the PPM,
Subscription agreements, partnership agreement and investor side letters;
Assisting with establishment of the carried interest vehicle (“CIV”) and reviewing and negotiating CIV formation documents; and liaising with the stakeholders.
Professional Examinations required):
Solicitor qualified in England and Wales (or equivalent authorization to practice, e.g. foreign qualified lawyer) with at least 4 years PQE (holding a current practicing certificate or equivalent)
Other skills required, essential or desired:
Experience at a law firm recognized for its investment funds practice in some or all of the above areas of work, in particular offshore fund formations
Experience of drafting, reviewing and negotiating legal documents and agreements for bespoke investment funds
